TERMS & CONDITIONS

Quote

The terms of this Quote are effective for 60 days after presentation to Client. Upon acceptance, this will constitute an Agreement between Ramble Visuals and Client. If this Agreement is not executed by Client within the specified time, the Quote, along with any related terms, conditions, and/or deliverables, may be subject to amendment, change, or substitution.

Expenses

Out-of-pocket expenses, such as travel, stock media purchase, equipment rental, template media purchases, voiceover, delivery, shipping, printing, stock photography, digital retouching, and presentation materials are not included and will be quoted separately.

Timing

All suggested milestone dates and timeframes should be recognized as targets and are subject to change based on the availability of participants and the timely review and approval of deliverables. The project officially commences once the final project quote is signed. Any quotes signed beyond 72 business hours may result in an updated Target Deliverable Date.

Invoices

Invoices are payable upon receipt or within 30 days of receipt. Author’s Alterations (see below) will be invoiced separately.

Financing

This project will be invoiced one time at 100%.

Author’s Alterations

Client shall pay additional charges for changes or additional steps requested by Client that are not outlined in the official Quote. Charges will be in addition to all other amounts payable under the Quote, regardless of any maximum budget, contract price, or final price identified therein. Ramble Visuals will quote Author’s Alterations before beginning work. Such alterations may extend or modify the final delivery schedule.

Client Responsibilities

Client is responsible for:

(a) Coordinating decision-making with parties other than Ramble Visuals.

(b) Submitting Client content in a form suitable for reproduction or incorporation into deliverables.

(c) Final proofreading. If errors such as typographic errors, omissions, or misspellings remain in the final product after Client approval, Client will incur the cost of correcting such errors.

Revisions; Acceptance

Client has twenty (20) days from the delivery of a deliverable (the “Acceptance Period”) to assess its conformity to Client’s requirements. If the deliverable does not conform, Client must notify Ramble Visuals by email within the Acceptance Period with a detailed description of the necessary corrections (a “Rejection Notice”). Ramble Visuals will address these issues within ten (10) days of receiving the Rejection Notice. If the Client does not provide a Rejection Notice within the Acceptance Period, the deliverable will be deemed accepted (“Acceptance”).

Client is entitled to two full rounds of revision requests per project at no additional charge. Additional changes will be pre-quoted and billed at $100 per hour. Revisions due to errors by Ramble Visuals (misspellings, missed requests, etc.) will be corrected at no cost to Client.

Rights and Ownership

Upon completion of services and full payment of all fees, Ramble Visuals transfers and assigns all rights and title in the final deliverables, including copyright and other intellectual property rights, to the Client. Client guarantees ownership or necessary rights in all materials provided to Ramble Visuals. The Client will indemnify, defend, and hold Ramble Visuals harmless from any claims related to materials provided by Client. Ramble Visuals will similarly indemnify Client against any claims related to the deliverables (excluding Client-provided materials).

Promotions

Ramble Visuals retains the right to reproduce, publish, and display the deliverables in portfolios, websites, galleries, media, and exhibitions for promotional and professional recognition purposes.

Additional Terms

1. Electronic acceptance of this proposal is recorded and deemed as signed acceptance.

2. Work will be completed within the agreed-upon scope. Anything beyond this is considered out of scope (see below).

3. Raw project files are not included in the cost but can be purchased separately.

4. Raw video files can be transferred upon request, with associated costs invoiced separately.

5. Rescheduling within 10 business days incurs a 25% surcharge; within 5 days, a 50% surcharge. Cancellations within 24 hours are not permitted (weather permitting).

6. Client delays in providing required content/information may result in an adjusted timeline.

7. Ramble Visuals is not liable for losses arising from inaccurate information provided by Client.

8. Additional project requirements beyond the agreed scope may incur extra costs.

9. Work pauses if Client does not respond to requests for 14 consecutive days.

10. All invoices are sent electronically and are due within 30 days. Failure to pay within 30 days may result in project cancellation.

11. Deliverables are tailored to 1080p HD unless otherwise specified.

12. The Client is responsible for necessary project preparations.

13. Ramble Visuals reserves the right to take a 30-minute meal break during production.

14. This Agreement is governed by the laws of the state where Ramble Visuals operates.

15. Notices and communications must be delivered via email, registered mail, or express delivery services.

By accepting this agreement, Client agrees to all the terms outlined above.

SCOPE OF WORK / CHANGE ORDERS

The scope of work for each project will be outlined in the initial project agreement and quote provided by Ramble Visuals. Any modifications, additions, or reductions to the scope may result in changes to cost, timeline, and deliverables. Potential causes of scope changes include, but are not limited to:

  1. Additional creative direction or strategy requests beyond the original agreement.

  2. Changes in project objectives, messaging, or branding after project initiation.

  3. Additional deliverables, such as extra video edits, formats, or alternate versions.

  4. Client delays in providing necessary materials, approvals, or feedback, resulting in rescheduling or additional work.

  5. Requests for higher production value, including additional shoot days, equipment, locations, or talent.

  6. External factors such as weather-related reschedules or unforeseen logistical challenges.

  7. Revisions exceeding the number of rounds included in the agreement.

  8. Legal or compliance-related adjustments not originally accounted for.

Any requested changes will be reviewed and quoted separately before implementation. Ramble Visuals reserves the right to adjust the project timeline and fees accordingly.
